TalkaTree Terms of Use

1. ELIGIBILITY

• You must be at least 13 years old and meet any higher minimum age required in your country to use TalkaTree.
• If you are below the age at which you may enter into a binding agreement where you live, your parent or legal guardian must review and agree to these Terms where required by law.
• You may not use the Services if we previously disabled your account for a serious or repeated violation, unless TalkaTree gives written permission.
• You must be legally permitted to use the Services in your location.

2. YOUR ACCOUNT

• Provide accurate information and keep it reasonably current.
• Protect your password and authentication credentials. You are responsible for activity performed through your account unless caused by TalkaTree’s failure to use reasonable security.
• Do not sell, transfer, rent or share access to your account, and do not create accounts through unauthorized automated methods.
• Notify us promptly if you suspect unauthorized access or misuse.
• Usernames and profile identifiers do not create ownership rights. We may change or reclaim them when reasonably necessary to address impersonation, infringement, inactivity, confusion or safety.

3. LIMITED PERMISSION TO USE THE SERVICES

Subject to these Terms, TalkaTree grants you a personal, limited, non-exclusive, non-transferable, revocable permission to access and use the Services for their intended purposes. TalkaTree and its licensors retain all rights in the Services, including the software, design, branding, logos, interfaces and technology. You may not copy, reverse engineer, scrape, sell, sublicense, interfere with or exploit the Services except as permitted by law or with our written authorization.

4. YOUR CONTENT AND LICENSE TO TALKATREE

• You retain ownership of content you create and share. You are responsible for it and must have all rights and permissions needed to post it.
• When you upload or share content, you grant TalkaTree a worldwide, non-exclusive, royalty-free, transferable and sublicensable license to host, store, reproduce, technically adapt, translate, display, distribute and make that content available as needed to operate, secure, improve and promote the Services according to your audience settings.
• This license allows public content and its TalkaTree preview to be shared within or outside the Services. It does not give TalkaTree ownership of your content.
• The license generally ends when your content is deleted from active systems, except where another user has lawfully reshared it, it remains temporarily in backups, or retention is reasonably required for safety, legal compliance, disputes or enforcement.
• Feedback and suggestions may be used by TalkaTree without restriction or compensation, provided we do not identify you publicly without permission.

5. PROHIBITED CONTENT AND CONDUCT

• Illegal content or activity, or content that promotes or facilitates serious wrongdoing.
• Threats, harassment, bullying, stalking, exploitation, hate speech or discrimination based on protected characteristics.
• Sexual exploitation, non-consensual intimate content, content that sexualizes minors, or attempts to groom or endanger a child.
• Graphic violence, credible incitement, terrorism or violent-extremist support.
• Fraud, scams, phishing, impersonation, deceptive practices, spam or coordinated manipulation.
• Content that infringes copyright, trademark, privacy, publicity or other rights.
• Malware, malicious code, unauthorized access, interference with security, scraping, bots or attempts to overload the Services.
• Artificial engagement or conduct designed primarily to manipulate recognition, recommendations, follower counts, invitations or creator eligibility.
• False or malicious reports, evasion of enforcement, or helping another person violate these Terms.

6. REPORTING, BLOCKING AND MODERATION

TalkaTree provides tools to report content or accounts and to block other users. We may use automated systems, human review and trusted service providers to identify, review and address potential violations.

We may remove or limit content; reduce distribution; disable features; restrict invitations or messaging; revoke creator or Tree privileges; suspend or terminate accounts; preserve evidence; and notify authorities when reasonably necessary. We consider the content, context, severity, risk, history and applicable law. We do not guarantee that every report will result in action or that review will occur within a fixed period. Do not misuse reporting tools. For an immediate threat or emergency, contact local emergency services.

7. INTELLECTUAL PROPERTY COMPLAINTS

We respect intellectual-property rights. If you believe content on TalkaTree infringes your rights, contact support@talkatree.com with identification of the protected work, the content at issue, your contact details, a good-faith statement, and confirmation that your notice is accurate and authorized. We may remove content, request additional information, forward the notice to the affected user and restrict repeat infringers. Knowingly submitting a false claim may create legal liability.

8. TREES, CREATORS AND COMMUNITY LEADERSHIP

• Trees are community spaces within TalkaTree; they are not separate legal entities and do not grant ownership of the TalkaTree platform, name, audience or underlying technology.
• Community leaders and creators must act honestly, respect members, follow these Terms and use moderation or management tools responsibly.
• Personalized Trees are premium, limited and subject to TalkaTree’s review, approval, availability and continuing standards. Eligibility, approval, features and visibility are not guaranteed by follower counts, engagement metrics or a popular post.
• TalkaTree may rename, merge, limit, reassign, suspend or remove a Tree when reasonably necessary for safety, infringement, inactivity, duplication, platform integrity or legal compliance.
• Verification indicates that TalkaTree completed the review described at that time; it is not an endorsement, warranty, employment relationship or guarantee of identity beyond that process.

9. COMMUNITY RECOGNITION

• TalkaTree may highlight constructive contributions and creators who help their communities thrive.
• Recognition is discretionary and may depend on relevance, consistency, community value, integrity checks and availability.
• TalkaTree may correct errors, disregard fraudulent or ineligible activity, and change or discontinue recognition features with reasonable notice when appropriate.
• Recognition is not money, stored value, property or a promise of payment. It does not guarantee access to a Personalized Tree, verification, compensation or another benefit.

10. PRIVATE COMMUNICATIONS

Private messaging is provided for communication between eligible connections. Do not use it for harassment, exploitation, spam, illegal transactions or unsolicited commercial solicitation. Recipients may save, report or reshare messages. Messaging is not represented as end-to-end encrypted. Our handling of message data is explained in the Privacy Policy.

11. THIRD-PARTY SERVICES AND APP STORES

The Services may link to third-party websites, authentication providers, app stores or social platforms. Their services and content are governed by their own terms. TalkaTree is not responsible for third-party services it does not control.

If you download the app through Apple or Google, their applicable store terms also apply. The app store is not responsible for providing TalkaTree support, and nothing in these Terms changes rights you have under mandatory app-store or consumer rules.

12. PAID FEATURES

TalkaTree may offer paid or premium features in the future. Before a purchase, we will disclose the price, included features, billing terms and any additional conditions. Purchases made through an app store are also governed by that store’s billing and refund rules.

13. SERVICE CHANGES AND AVAILABILITY

TalkaTree is actively developed. We may add, modify, test, limit or discontinue features; change eligibility or technical requirements; or temporarily interrupt access for maintenance, security or operational reasons. We will provide notice when required by law. We do not guarantee that the Services or any particular feature, content, Tree or account will always be available, error-free or unchanged.

14. ACCOUNT SUSPENSION, TERMINATION AND DELETION

You may stop using TalkaTree or delete your account through Settings → Delete My Account. You may also use https://talkatree.com/delete-account if you cannot access the app.

We may restrict, suspend or terminate access when we reasonably believe you violated these Terms, created risk or legal exposure, harmed users or the Services, or when required by law. Where appropriate, we may provide notice or an opportunity to appeal. After termination or deletion, provisions that by their nature should survive remain effective, including ownership, licenses already relied upon, disclaimers, liability limits and dispute provisions.

15. PRIVACY

Our Privacy Policy explains how we collect, use, disclose, retain and protect personal information and how you may exercise privacy rights. It forms part of your relationship with TalkaTree but does not reduce any rights provided by applicable law.

16. DISCLAIMERS

To the fullest extent permitted by law, the Services are provided “as is” and “as available.” TalkaTree disclaims implied warranties of merchantability, fitness for a particular purpose, title and non-infringement. We do not guarantee that content is accurate, that users are who they claim to be, that the Services will be uninterrupted or secure, or that participation will produce audience growth, verification, creator status, income or another result. Nothing in these Terms excludes warranties or rights that cannot legally be excluded.

17. LIMITATION OF LIABILITY

To the fullest extent permitted by law, TalkaTree LLC and its officers, members, employees, contractors and affiliates will not be liable for indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, data, goodwill or opportunities arising from the Services. Our aggregate liability for claims relating to the Services will not exceed the greater of US$100 or the amount you paid TalkaTree for the Services during the 12 months before the event giving rise to the claim. These limits do not apply where prohibited by law or to liability that cannot legally be limited.

18. YOUR RESPONSIBILITY FOR CLAIMS

To the extent permitted by law, you agree to defend, indemnify and hold harmless TalkaTree LLC and its officers, members, employees and contractors from third-party claims, losses and reasonable expenses arising from your content, your unlawful use of the Services or your material violation of these Terms. This obligation does not apply to the extent a claim results from TalkaTree’s own unlawful conduct.

19. GOVERNING LAW AND DISPUTES

These Terms are governed by the laws of the State of Washington, United States, without regard to conflict-of-law principles. Courts with jurisdiction in Washington will have jurisdiction over disputes, except where mandatory consumer law gives you the right to bring a claim elsewhere. Before filing a formal claim, you and TalkaTree agree to try in good faith to resolve the dispute by contacting support@talkatree.com. Nothing here limits rights that cannot be waived under applicable law.

20. CHANGES TO THESE TERMS

We may update these Terms as the Services, laws or our practices change. We will post the revised Terms and update the effective date. When required, we will provide additional notice and request renewed acceptance. Continued use after revised Terms take effect constitutes acceptance to the extent permitted by law.

21. GENERAL TERMS

If any provision is unenforceable, it will be limited or removed only to the minimum extent necessary, and the remaining provisions will continue. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; TalkaTree may assign them as part of a merger, reorganization, financing or transfer of the Services. These Terms, the Privacy Policy and any additional terms presented for a specific feature constitute the agreement concerning the Services.
